By-Laws established by statutory meeting 21st June 2001

§ 1. Name

The name of the Intitution is Norsk forening for etterforskning og sikkerhet (Norwegian Institution of Investigation and Security), NFES.


§ 2. Intentions

NFES shall function as an institution for persons and companies with similar interests and who carry out investigation, research, consulting and security work. It is an objective that NFES shall be a national partner for authorities and society in general. NFES shall uphold integrity and dignity, develop norms for rule of conduct, professional standards and developments of the particular discipline. NFES shall work towards a code of authorization for investigatigators in Norway.


§ 3. Membership


A. Membership

Candidates for membership of NFES are persons and/or companies producing services as stated in §2, who can document appropriate qualifications, meet any requirements from public authorities and are accepted by the Board of NFES.

B. Application for membership

1. The application for membership shall be in writing.
2. The applicant for membership must supply all information requested in the application form
....of the Institution.
3. Applicants must give authorization to the Board to seek additional information relevant to
....the membership application.
4. The Board elects and approves membership..
5. Refused membership needs not be commented upon.

C. Resignation

1. Resignation from the Institution shall be by notice in writing to the Board
2. Any member who breach §3 A of these by-laws or show improper conduct shall have
....their membership judged by the Board. The member can appeal any judgment made
... by the Board to the next General Meeting. The Board judges if an appeal postpones
... an expulsion from the Institution.
3. Any member convicted of a criminal offence related to Norwegian Law or breach of
....the Institutions code of conduct may have his membership cancelled
4. Any member who does not have an orderly economy and finances may be expelled.

D. Passive membership

If a member with at least 3 years active membership reduces or terminates the business because of age or health, he or she may apply for a change of status to passive member.

A passive member has the same rights and duties in relation to the regulations.

A passive member pays 50% of current membership fee.


§ 4. Organization

NFES is a national institution organized as follows:

§ 5. General Meeting

A. Ordinary General Meeting (Annual Meeting) shall be held before the end of March each year.

B. Written notice of the General Meeting shall be issued by the Board and sent to the members
.... with 4 weeks notice.

C. Annual Report from the Board, a copy of Accounts together with a copy of the Auditors
... Report shall be attached to the notice.

D. A Budget Proposal shall be attached to the notice.

E. Each member has one vote

F. Any motions to be transacted at the General Meeting (Annual Meeting) shall be received
... by the Board before 15th January.

G. Motions from the Board or from the members shall be forwarded to the members with
.... the notice.


§ 6. The General Meeting (Annual Meeting) Proceedings

§ 7. Special Meeting

Special Meeting (General Meeting) shall be held when the Board or at least 1/3 of the members determine. Special Meeting shall be called with at least two weeks written notice, specifying nature of the business proposed to be transacted thereat. Only proposed business can be transacted at the meeting.


§ 8. Voting at meetings and Proxy Votes.

Each member has one vote. Transactions of issues described in §6 require a bare majority. If there is an equality of votes, the Chairman's vote decides the transaction.. Each member can vote with a written Proxy from only one other member. When members are from the same company, alliance / corporation, only two votes are allowed from such a system.


§ 9. The Board

The Board shall consist of 4 members. Board members are elected for two years. At the Statuary General Meeting 1 member is elected for 1 year. The Chairman is elected separately for a period of 2 years. Secretary is elected for one year. Additionally, 1 substitute Board member is elected every second year, following the period of the Chairman. Upon special circumstances a Board member may retire before the end of his elected period. The Board may make decisions when a minimum of 3 Board members is present. All decisions are made with a bare majority. When their is an equality of votes, the Chairman of the Board or if he is absent, the Chairman of the meeting, shall be entitled to a second vote.

The Chairman of the Board calls a Board Meeting on his own initiative or if requested by two Board members.. Minutes from the Board Meetings shall be entered in a dedicated protocol and signed by those present at the meeting. Copy of minutes from Board meetings shall be sent to members. Chairman of the Board or the Board member given Proxy has signatory power together with one more Board member. The Board may give procuration.

The Board shall manage the affairs of the Institution. The Board shall execute resolutions made by the General Meeting. Also the Board shall perform the tasks delegated to the Board from the General meeting, including right to make economic transactions limited to cash available. The Board prepares and sends to the members its proposed next year budget and proposed membership fee, when calling the general meeting, §5. The Board produce a written account of the duties of the Secretary.


§ 10. Other Meetings

Least two members meetings shall be arranged every year. The Board calls the meetings. Transactions of issues require a bare majority vote.


§ 11. Election Committee

The general Meeting (Annual Meeting) shall every year elect 2 members to the Election Committee.


§ 12. Financial Year

The Financial year of the Institution shall follow the calendar year.


§ 13. By-Law Revision

By-Law revisions may only take place at a General Meeting (Annual Meeting), called according to these By-Laws and decided with at least 2/3 vote majority. Proposed By-Law revisions, to be decided at the General Meeting (Annual Meeting), shall be received by the Board before 15th January. Proposed By-Law revisions shall be forwarded together with the notice calling the General meeting. One General Meeting can only decide changes to other paragraphs than the proposed, when this follows natural after the revision decided upon.


§ 14. Dissolution

The dissolution of the Institution is decided by the General Meeting by a vote majority representing not less than 2/3 of the members. If less than 2/3 of the members vote, dissolution of the Institution can be decided by a second General meeting with 2/3 vote majority. Upon dissolution of the Institution the General Meeting shall decide upon disposal of any equity.
